Terms of Service

Welcome to Audia. By downloading, accessing, or using the Audia mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

1. Eligibility

You must be at least 13 years old to use the App. If you are under 18, you must have parental or guardian consent. By using the App, you represent that you meet these requirements.

2. Account & Access

• You may use the App as a guest (device-only identifier) or by signing in with a Google account. Signing in enables library sync, subscriptions, and community features across devices.
• If you sign in with Google, you authorise us to receive your Google profile information as described in our Privacy Policy.
• You are responsible for maintaining the security of your device and Google account.
• We reserve the right to suspend or terminate access to any user who violates these Terms.
• We may modify, suspend, or discontinue the App (or any part of it) at any time with or without notice.

2a. Screen Names

Signed-in users may set a custom screen name (display name / gamer tag) to replace their Google name within the App. By setting a screen name you agree that:

• Screen names must not impersonate Audia staff, moderators, or other users.
• Screen names must not contain offensive, sexual, hateful, or otherwise prohibited content.
• We reserve the right to remove or change screen names that violate these standards without notice.
• Screen names are limited to 30 characters and must contain at least one letter.

3. Subscriptions & Payments

• Audia offers paid subscription plans ("Pro") that provide credits for AI music generation.
• Subscriptions are billed through Google Play or the Apple App Store. All payments are processed by the respective platform — we do not collect or store payment information.
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
• You can manage or cancel your subscription in your device's app store settings.
• Refund policies are governed by Google Play or the Apple App Store.
• Unused credits do not roll over to the next billing period.

4. AI-Generated Content

• Songs generated through the App are created by third-party AI models. Output quality, accuracy, and appropriateness may vary.
• You retain ownership of the text prompts and lyrics you provide.
• You are granted a personal, non-exclusive license to use AI-generated audio for personal, non-commercial purposes. Commercial use rights may be offered under separate licensing terms in the future.
• You may not use the App to generate content that is illegal, harmful, hateful, defamatory, infringing, or violates any third-party rights.

5. Copyright & Impersonation Policy

Audia does not provide, facilitate, or condone the use of copyrighted content or the impersonation of real individuals. Our platform is designed for creating original AI-generated music only. You agree to the following restrictions when using Audia:

• No recreating existing songs — You may not attempt to reproduce, replicate, or generate copies of existing copyrighted songs, compositions, or recordings.
• No celebrity or real person impersonation — You may not use prompts, lyrics, or voice descriptions intended to impersonate, imitate, or misrepresent the voice, style, or likeness of any singer, actor, celebrity, or real person without their explicit written consent.
• No copyrighted lyrics — You may not input lyrics, poems, or written works that are copyrighted by a third party. All lyrics you submit must be original or in the public domain.
• No trademark misuse — You may not use the App to generate content that includes or references trademarked names, brands, or logos in a way that could cause confusion or imply endorsement.
• Security measures in place — Audia employs automated content filtering, keyword detection, and manual review systems to identify and prevent copyright violations and impersonation attempts. Prompts and generated content are monitored for compliance with these Terms.
• Your responsibility — You are solely responsible for ensuring that your prompts, lyrics, and generated content do not infringe on the intellectual property, publicity rights, or any other rights of third parties.
• Enforcement & consequences — We reserve the right to remove any content that violates copyright or impersonation policies. Repeated violations or attempts to bypass content filters will result in account suspension or permanent termination. Serious violations may be reported to rights holders or law enforcement.

6. Community Features

• If you share content to the community feed, you grant Audia a non-exclusive, royalty-free, worldwide license to display that content within the App.
• You are solely responsible for the content you share. We may remove content that violates these Terms without notice.
• You may not upload, share, or generate content that is obscene, illegal, threatening, or infringes on the rights of others.

6a. Live Chat Room Rules & Community Standards

Audia provides live chat rooms where users can discuss music, share experiences, and connect with the community. By participating in live chat, you agree to follow these rules:

Prohibited Content & Behavior:

• No harassment or bullying — Do not harass, intimidate, threaten, or bully other users. Repeated targeting of individuals is strictly prohibited.
• No hate speech — Do not post content that promotes hatred, violence, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
• No sexual or explicit content — Do not share sexually explicit messages, images, links, or innuendos. This includes references to sexual acts, anatomy, or solicitation.
• No spam or flooding — Do not repeatedly post the same message, flood the chat with excessive messages, or use all caps excessively.
• No advertising or self-promotion — Do not advertise external products, services, social media accounts, or other apps/platforms without permission.
• No sharing personal information — Do not share your own or others' personal information (phone numbers, addresses, email, social media handles, etc.). Protect your privacy and respect others' privacy.
• No impersonation — Do not impersonate Audia staff, moderators, celebrities, or other users.
• No scams or malicious links — Do not post phishing links, scams, malware, or deceptive content.
• No discussions of illegal activities — Do not discuss, promote, or coordinate illegal activities including drug use, piracy, hacking, or violence.
• No disruptive behavior — Do not intentionally disrupt conversations, bait arguments, or create a hostile environment.
• Respect others — Treat all users with respect. Disagreements are okay, but keep discussions civil.

Consequences for Violations:

• First offense — Warning and message removal.
• Repeated violations — Temporary chat ban (1-7 days).
• Serious or ongoing violations — Permanent chat ban or account suspension.
• Severe violations — Immediate permanent ban for extreme content (child endangerment, violent threats, illegal content).

Reporting & Moderation:

• If you see content that violates these rules, use the in-app report feature or contact us at pixelhearttech@gmail.com.
• Audia staff and volunteer moderators have the authority to remove messages, issue warnings, and enforce bans.
• We may review chat logs to investigate reports. Repeated false reports may result in penalties.
• Moderation decisions are final. Appeals can be submitted via email within 30 days.

Additional Guidelines:

• Chat rooms are English-only to facilitate moderation.
• Messages may be logged for safety, moderation, and Terms enforcement.
• We reserve the right to close or archive chat rooms at any time.
• You acknowledge that chat content is user-generated and Audia is not responsible for messages posted by users.

6b. Live Streaming Rules & Content Responsibility

Audia provides live streaming features that allow users to broadcast performances, share music, and interact with the community in real-time. By using live streaming features, you acknowledge and agree to the following terms:

Copyright Compliance & Prohibited Content:

• No copyrighted material — You may not stream, perform, or play copyrighted music, songs, recordings, or audio content owned by third parties. This includes covers, remixes, karaoke versions, or any reproduction of copyrighted works without proper licensing.
• No celebrity or real person impersonation — You may not impersonate singers, actors, celebrities, or any real individuals during live streams. This includes imitating voices, performing as another person, or misrepresenting your identity.
• Original content only — All content broadcast during live streams must be original material created by you, music generated through Audia's AI tools for your personal use, or content for which you have obtained proper rights and permissions.
• Absolutely no nudity or sexual content — Any display of nudity, sexually explicit acts, or sexually suggestive behavior during live streams will result in immediate permanent account termination without warning.
• No illegal activities — You may not broadcast, promote, discuss, or engage in any illegal activities during live streams. This includes but is not limited to drug use, violence, harassment, threats, or any criminal conduct.

User Responsibility & Liability:

• You are solely responsible — You assume full legal responsibility for all content broadcast during your live streams. Audia does not pre-screen, approve, or endorse user-generated live content.
• No liability for user content — Audia is not responsible for, and disclaims all liability related to, the content of your live streams. You acknowledge that any legal consequences arising from your broadcasts are your sole responsibility.
• Rights infringement claims — If your live stream violates copyright, trademark, publicity rights, or any other intellectual property rights, you are solely liable for such violations. Audia will comply with valid legal takedown requests and may share your information with rights holders or law enforcement as required by law.

Monitoring, Enforcement & Security:

• Automated and manual monitoring — Audia employs automated content filtering systems and manual moderation to detect prohibited content in live streams. All live streams may be monitored, recorded, and reviewed for compliance with these Terms.
• Immediate termination — Live streams containing prohibited content will be terminated immediately without prior notice. Your account may be suspended or permanently banned depending on the severity of the violation.
• Zero tolerance policy — The following violations result in immediate permanent ban: nudity or sexual content, child endangerment, violent threats, hate speech, or any illegal activity broadcast during live streams.
• Law enforcement cooperation — Audia reserves the right to report illegal activities, child exploitation, violent threats, or other serious violations to law enforcement authorities. We will fully cooperate with law enforcement investigations and provide any requested information, including account details, IP addresses, and recorded content.

AI Generator Copyright Restrictions:

• The same copyright and impersonation restrictions apply to Audia's AI music generation tools. You may not attempt to generate copyrighted lyrics, celebrity impersonations, or reproductions of existing songs using our AI generators.
• Our AI systems include content filters and safeguards to prevent generation of prohibited content. Attempting to bypass these safeguards is a violation of these Terms and may result in account termination.

Reporting Violations:

• If you witness prohibited content during a live stream, use the in-app report feature immediately or contact us at pixelhearttech@gmail.com.
• Reports are reviewed promptly. Confirmed violations result in enforcement actions as described above.

Your Acknowledgment:

By using live streaming features or AI generation tools, you acknowledge that you have read, understood, and agree to comply with all copyright, content, and conduct restrictions outlined in this section. You understand that violations may result in immediate account termination, legal liability, and potential law enforcement involvement.

7. Prohibited Conduct

You agree not to:

• Reverse-engineer, decompile, or disassemble the App.
• Attempt to bypass subscription restrictions, credit limits, or rate limits.
• Use the App for any unlawful purpose.
• Impersonate any person or misrepresent your affiliation.
• Generate or attempt to generate covers, remixes, or reproductions of copyrighted music.
• Use prompts designed to replicate a specific artist's voice, singing style, or identity.
• Use automated means (bots, scrapers) to access the App or its services.
• Interfere with or disrupt the App's servers or networks.

8. Intellectual Property

The App, its design, branding, code, and all related materials are owned by Audia and protected by copyright and intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the App beyond the limited license to use it.

9. Disclaimers

• The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.
• We do not guarantee that AI-generated content will be error-free, appropriate, or free of third-party rights claims.
• We are not responsible for any content generated by AI models or shared by users.

10. Limitation of Liability

To the maximum extent permitted by law, Audia shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to loss of data, revenue, or profits, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Audia, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses arising from your use of the App or your violation of these Terms.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted within the App and on this page. Your continued use of the App after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Audia operates, without regard to conflict of law principles.
